Welcome to Cliniqo ("Platform," "Service," "we," "us," or "our"). These Terms of Service ("Terms") govern your use of our website, mobile application, and all associated services. By accessing or using Cliniqo, you agree to be bound by these Terms.
Important: If you do not agree to these Terms, you may not use Cliniqo. These Terms constitute a legal agreement between you and Cliniqo.
1. Definitions
- User: Any clinic, doctor, admin, or patient using Cliniqo
- Clinic: Healthcare facility or practice using Cliniqo for appointment management
- Patient: Individual booking or tracking appointments through Cliniqo
- Content: All data, information, and materials uploaded to the Platform
- Prescription: Digital medical prescription generated through the Platform
- Teleconsultation: Video consultation between doctor and patient through the Platform
2. Service Description
Cliniqo is a clinic management and appointment booking platform that enables:
- Digital appointment scheduling and management
- Doctor and staff availability management
- Digital prescription generation with QR verification and doctor signatures
- Secure video consultations (teleconsultation)
- Patient record management with DPDP Act compliance
- Payment processing and GST-compliant billing
- WhatsApp-based notifications and prescription delivery
- Analytics and reporting
3. User Eligibility and Account Registration
3.1 Eligibility
You must be at least 18 years old and capable of entering into legal agreements to use Cliniqo. If you represent an organization, you confirm that you have authority to bind that organization to these Terms.
3.2 Account Registration
To access certain features, you must create an account and provide accurate, complete, and current information. You are responsible for:
- Maintaining the confidentiality of your login credentials
- All activities conducted under your account
- Immediately notifying us of unauthorized access
- Updating your information to keep it current
3.3 Clinic Credentials
Clinics must provide valid registration details, doctor licenses, and credentials. Cliniqo may verify this information and reserves the right to suspend services for unverified or false claims.
4. Trial Period
Cliniqo offers a 30-day free trial for new clinic signups:
- Trial includes full access to core features
- No credit card required during trial
- Trial period begins on account creation
- At trial end, you must upgrade to a paid plan to continue using the service
- 30-day data retention period after trial ends if you do not upgrade
- We may deny trial access to users violating these Terms
5. Pricing and Payment
5.1 Pricing
Pricing is available on our website and is subject to change with 30 days' written notice.
5.2 Payment Terms
- Payments are processed monthly on the renewal date
- Billing will continue automatically unless cancelled
- Failed payments may result in service suspension
- All prices are exclusive of applicable taxes
5.3 Refund Policy
We offer a 30-day money-back guarantee for new paid subscriptions. Refund requests must be submitted within 30 days of purchase. After 30 days, no refunds are provided, but you may cancel your subscription with notice.
6. Cancellation and Termination
6.1 Cancellation by You
You may cancel your account anytime by contacting support. Upon cancellation:
- Access to the Platform will be terminated immediately
- Your data will be retained for 30 days before permanent deletion
- You will not receive refunds for partial months
6.2 Termination by Cliniqo
We may suspend or terminate your account if you:
- Violate these Terms or applicable laws
- Fail to pay subscription fees for 30+ days
- Use the Platform for fraudulent or illegal purposes
- Provide false or misleading credentials
- Engage in harassment, abuse, or misconduct
- Breach data protection regulations
7. Acceptable Use Policy
You agree not to:
- Violate any applicable laws or regulations
- Infringe on intellectual property rights
- Transmit malware, viruses, or harmful code
- Attempt unauthorized access or hacking
- Spam, phish, or engage in fraudulent activities
- Harass, threaten, or abuse other users
- Scrape, crawl, or automatically access the Platform
- Use the Platform for competitive analysis or reverse engineering
- Misrepresent credentials or qualifications
- Store or transmit false or misleading patient information
8. Regulatory Compliance
8.1 Telemedicine Practice Guidelines 2020
Our teleconsultation features comply with the Telemedicine Practice Guidelines 2020 issued by the Board of Governors (Medical Council of India). This includes:
- Patient Consent: Mandatory teleconsultation consent is recorded with timestamp before each video consultation
- Prescription Validity: Electronic prescriptions are valid as per guidelines
- Doctor Identification: Doctor credentials and registration numbers are displayed on all prescriptions
- Record Keeping: All teleconsultation records are maintained as required
8.2 Digital Prescriptions and Drug Regulations
Our prescription system complies with the Drugs and Cosmetics Act, 1940:
- Schedule H Drugs: Prescriptions for Schedule H drugs display the mandatory warning "Schedule H Drug - Warning: To be sold by retail on the prescription of a Registered Medical Practitioner only."
- Schedule H1 Drugs: Prescriptions for Schedule H1 drugs display the mandatory warning "Schedule H1 Drug - Warning: It is dangerous to take this preparation except in accordance with medical advice. Not to be sold by retail without prescription of a Registered Medical Practitioner."
- Prescription Validity: Each prescription displays its validity period (default 3 months unless specified)
- QR Verification: Each prescription includes a QR code for authenticity verification
- Digital Signatures: Doctor's digital signature is embedded in all prescriptions
8.3 DPDP Act 2023 Compliance
Cliniqo complies with the Digital Personal Data Protection Act, 2023. As a Data Fiduciary:
- We process personal data only for lawful purposes with consent
- We provide data portability (export in JSON format)
- We honor erasure requests with a 30-day grace period
- We maintain data accuracy and security
- We have appointed a Grievance Officer for data-related concerns
8.4 GST Compliance
All invoices generated through Cliniqo are GST-compliant:
- Clinic GSTIN is displayed on all invoices
- Proper tax breakdowns are included
- Invoice records are retained for 8 years as per tax requirements
9. Data Protection and HIPAA
9.1 Data Ownership
You retain ownership of all patient data, medical records, and information you upload. Cliniqo has limited license to use this data solely for providing the Service.
9.2 HIPAA Compliance
Cliniqo infrastructure is designed to be HIPAA-aligned. For HIPAA coverage under the Privacy and Security Rules, a Business Associate Agreement (BAA) is required. Please contact us to execute a BAA for HIPAA compliance.
9.3 Data Security
We implement industry-standard security measures including:
- Encryption in transit and at rest
- 30-minute session timeout (HIPAA-aligned)
- Role-based access controls
- No PII in URLs or browser history
- Automatic idle detection and logout
- No-cache headers on sensitive pages
10. Intellectual Property
All content, features, and functionality of Cliniqo are the exclusive property of Cliniqo and are protected by copyright, trademark, and other intellectual property laws. You have limited license to use the Platform for its intended purpose only.
11. Limitation of Liability
Disclaimer: Cliniqo is provided on an "AS IS" and "AS AVAILABLE" basis. We make no warranties, express or implied, regarding the Platform's accuracy, completeness, or fitness for any particular purpose.
11.1 Limitation
To the maximum extent permitted by law, Cliniqo shall not be liable for:
- Indirect, incidental, or consequential damages
- Lost profits or revenue
- Data loss or corruption
- Service interruptions or downtime
- Third-party actions or content
- Medical decisions made based on teleconsultations
11.2 Maximum Liability
Our total liability shall not exceed the amount you paid for services in the 12 months preceding the claim.
12. Indemnification
You agree to indemnify and hold harmless Cliniqo, its officers, employees, and agents from any claims, damages, or losses arising from:
- Your use of the Platform
- Your violation of these Terms
- Your violation of applicable laws
- Your content or patient data
- Your breach of professional duties
- Prescriptions you issue through the Platform
13. Third-Party Integrations
Cliniqo integrates with third-party services (WhatsApp, Razorpay, Daily.co). We are not responsible for third-party services, and your use of them is governed by their terms and policies.
14. Changes to Terms
We may update these Terms at any time. Significant changes will be communicated via email or platform notification. Continued use of Cliniqo constitutes acceptance of updated Terms.
15. Dispute Resolution
15.1 Governing Law
These Terms are governed by the laws of India, without regard to conflicts of law principles.
15.2 Dispute Resolution
Any disputes shall be resolved through negotiation or mediation. If unresolved, disputes shall be subject to exclusive jurisdiction of courts in Kolkata, India.
